These Terms of Service ("Terms") govern your access to and use of the Workalizer website and the Workalizer analytics and performance-review service (together, the "Service"). The Service is developed and operated by InfoHub Works Limited, a company registered in England and Wales (company number 11499103), with its registered office at 124 City Road, London, England, EC1V 2NX. In these Terms, "we," "us," and "our" refer to InfoHub Works Limited. By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization and that the organization agrees to these Terms.

1. What Workalizer Is

Workalizer is a software-as-a-service platform that provides performance and productivity analytics based on data from Google Workspace (e.g. Gmail, Drive, Meet, Chat). The Service fetches and aggregates such data via official Google APIs under the access and permissions granted by your organization. Workalizer does not collect or store raw activity logs; it processes data to produce dashboards, reports, and AI-generated insights for performance reviews and productivity analysis. The Service is offered to organizations (B2B) and their authorized users.

2. Acceptance and Changes

Your use of the Service constitutes acceptance of these Terms. We may update the Terms from time to time. We will notify you of material changes (e.g. by posting the updated Terms on the website or by email where appropriate). Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

3. Account and Access

Access to the Service may require an account and compliance with your organization's administration of the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We reserve the right to suspend or terminate access for violation of these Terms or for any other reason consistent with our policies.

4. Acceptable Use

You may use the Service only in accordance with these Terms and applicable law. You may not: (a) use the Service for any illegal or unauthorized purpose; (b) attempt to gain unauthorized access to the Service, other accounts, or our or any third party's systems or data; (c) interfere with or disrupt the integrity or performance of the Service; (d) use the Service in a manner that infringes or violates the rights of others; or (e) use the Service to process personal data in a way that violates applicable data protection law. Your organization is responsible for ensuring that its use of the Service and its instructions to us comply with law, including data protection and employment law.

5. Data Processing and Privacy

When we process personal data on your or your organization's behalf (e.g. Google Workspace data used for analytics), we do so as a data processor. The organization that contracts for the Service is the data controller responsible for establishing a lawful basis and for compliance with GDPR and other applicable data protection law. Our processing is governed by our Privacy Policy, Data Access Policy, and, where applicable, a data processing agreement. By using the Service, you acknowledge that you have read our Privacy Policy and Data Access Policy.

6. Intellectual Property

Workalizer and its licensors own all rights in the Service, including the software, design, text, graphics, and other content we provide (excluding content you or your organization submit). We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms. You do not acquire any ownership rights, and you may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted.

7. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Analytics and insights are derived from data we process and are for informational and decision-support purposes; they do not constitute legal, HR, or professional advice.

8. Limitation of Liability

To the maximum extent permitted by applicable law, InfoHub Works Limited (and its affiliates, officers, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service or these Terms. Our total liability for any claims arising from or related to the Service or these Terms shall not exceed the amount paid by you (or your organization) for the Service in the twelve (12) months preceding the claim, or one hundred euros (100 EUR), whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify and hold harmless InfoHub Works Limited and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights or applicable law.

10. Term and Termination

These Terms apply for as long as you use the Service. We may suspend or terminate your or your organization's access to the Service at any time for cause (including breach of these Terms) or as otherwise set out in our agreement with your organization. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms limits your right to bring a claim before a competent data protection authority where applicable.
